Terms of Service

Master Subscription Agreement for healthcare institutions, clinics, and doctors

Effective October 2026, applicable to all registered clinics and healthcare practitioners under the laws of India.

1. Agreement Overview and Parties

SaluteOS provides cloud-based clinical practice and workflow infrastructure for doctors, clinics, healthcare networks, and hospital OPDs ("Service").

This Master Subscription Agreement ("Agreement") governs the access and use of SaluteOS by the subscribing healthcare entity, practitioner, or organization ("Clinic", "Customer", or "You").

By registering an account, initiating an evaluation trial, or purchasing a subscription plan, You agree to be legally bound by these Terms of Service.

2. The SaluteOS Platform Services

SaluteOS provides clinical operations technology, including appointment scheduling, patient token queues, waiting room screen pairing, electronic consultation workflows, verifiable digital prescriptions, operational insights, and clinical communications.

Access to specific features, staff seats, and communication allowances depends on the active subscription tier selected by Your clinic.

3. Clinical Independence and Medical Disclaimer

SaluteOS is strictly an operational software and workflow technology platform. SaluteOS is not a licensed medical healthcare provider and does not practice medicine.

All clinical decisions, medical diagnoses, triage determinations, treatment plans, drug prescriptions, and patient advice are made solely by and remain the independent professional responsibility of the attending doctor or healthcare provider.

SaluteOS makes no clinical warranty regarding medical outcomes, and the platform shall not be used as a substitute for qualified clinical evaluation.

4. Patient Data Ownership and DPDP Act Compliance

In compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and applicable healthcare regulations:

The Clinic acts as the Data Fiduciary (Data Controller) for all patient health data, personal identifying information, consultation notes, and uploaded diagnostic files. The Clinic is responsible for obtaining lawful patient consent.

SaluteOS acts strictly as a Data Processor, processing patient information solely on the documented instructions of the Clinic to operate the Service.

The Clinic retains full, unencumbered ownership of its clinical records. SaluteOS never sells, rents, or monetizes patient health data or shares it with third parties for commercial advertising.

5. Account Security and Access Credentials

Clinics are responsible for safeguarding all administrative credentials, doctor logins, and front desk staff accounts.

You agree to promptly notify SaluteOS upon discovering any unauthorized access, credential compromise, or security incident involving your clinic accounts.

6. Subscription Billing, Fees, and Renewal

Subscription fees are billed in advance on a recurring monthly or annual billing cycle corresponding to your selected tier.

Fees are exclusive of applicable statutory taxes (including Goods and Services Tax, GST). All billing charges are clearly itemized on official tax invoices issued to the Clinic.

SaluteOS never takes any percentage or commission cut on consultation fees collected directly by your clinic from patients.

7. Service Availability and Maintenance

SaluteOS maintains institutional cloud infrastructure engineered for 99.9% uptime for core clinical operations (queue triage, prescriptions, and appointment booking).

Scheduled maintenance windows are conducted during off-peak hours with prior administrative advance notice.

8. Term and Termination

This Agreement remains in force until terminated by either party.

You may terminate your subscription at any time through the Clinic Admin dashboard. Upon termination, You retain the right to export all patient records and clinical history in standard machine-readable formats.

SaluteOS reserves the right to suspend or terminate access in cases of material breach, illegal medical practice, non-payment, or security violations.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law, SaluteOS shall not be liable for indirect, incidental, punitive, or consequential damages arising from the use or inability to use the Service.

SaluteOS total cumulative liability under this Agreement shall not exceed the subscription fees paid by You to SaluteOS during the twelve (12) months preceding the incident.

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.

Any disputes, claims, or controversies arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts in India.
